1. Introduction & Acceptance of Terms

Welcome to Vediway (accessible via https://vediway.in, mobile applications, and Progressive Web Apps). This platform, brand, technology stack, and all associated services are owned and operated by VIGNESH R (hereinafter referred to as "Vediway", "Platform", "We", "Us", or "Our"), having its principal place of business at:

By accessing, registering, browsing, or utilizing the platform as a Sender / Shop Owner or Commercial Driver Partner, you agree to comply with and be legally bound by these Terms and Conditions. If you do not agree with any part of these Terms, you must immediately cease use of our services.

2. Platform Scope & Role of Intermediary

Vediway operates strictly as a digital technology intermediary and freight matchmaking facilitator pursuant to Section 79 of the Information Technology Act, 2000.

• Vediway connects business owners/senders requiring commercial cargo haulage with independent third-party commercial vehicle owners and drivers.
• Vediway is not a common carrier, transportation service provider, or fleet owner. We do not inspect the contents of individual packages, nor do we employ drivers directly.
• The legal contract for the physical transportation and carriage of goods is established directly between the Sender and the independent Driver Partner.

3. Account Registration & Mandatory KYC Verification

To maintain trust, safety, and checkpost compliance across highway corridors, all platform users must maintain accurate account credentials:

• For Shop Owners / Senders: Users must furnish valid contact details, store/business trade names, pickup locations, and business proof (e.g., GSTIN / Shop & Establishment proof / MSME documentation where applicable).
• For Driver Partners: Drivers must complete verification by uploading genuine documents, including a valid Commercial Driving License (DL), Vehicle Registration Certificate (RC), valid Commercial Vehicle Insurance, and Fitness Certificate (FC).
• Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and mobile OTP authentication tokens. Any action initiated from your verified account shall be deemed authorized by you.

4. Load Postings, Bidding & Carriage Contract

Senders publish load requirements specifying material category, packaging type, approximate weight, and route points.

• Listing Accuracy: Senders warrant that all cargo weight, count, volume, and material descriptions submitted are truthful and accurate. Providing incorrect weights may lead to trip rejection and cancellation penalties.
• Bidding Mechanism: Driver Partners place bids on available loads. Senders reserve the right to accept any bid based on vehicle type, driver rating, and agreed price.
• Binding Agreement: Acceptance of a bid and payment authorization constitutes a binding commitment by the Sender to provide the cargo and by the Driver to execute the transport run.

5. Pricing, Platform Commission & PhonePe Payment Processing

Vediway enforces a transparent commission model with zero recurring monthly subscription lock-ins:

• 100% Upfront Collection: When a Sender accepts a driver's bid, the total agreed trip fare is collected digitally through our authorized payment partner, PhonePe Payment Gateway.
• 10% Platform Facilitation Fee: Vediway retains a flat 10% platform facilitation fee on the total trip value for server infrastructure, routing, live tracking, and matchmaking services.
• 90% Driver Payout: The remaining 90% of the trip fare is held in automated escrow custody and credited directly to the driver's verified bank account upon successful verification of the delivery Drop OTP.
• Authorized Payment Aggregator: All electronic transactions (UPI, Credit/Debit Cards, NetBanking) are processed through RBI-authorized payment aggregator PhonePe. Vediway does not store card numbers or banking passwords on its servers.

6. Dual-OTP Verification & Custody Handoff Protocol

To eliminate cargo loss, fraud, and delivery disputes, every booking adheres to a strict dual-OTP protocol:

• Pickup OTP: Generated on the Sender's dashboard. Handed to the driver only after physical loading and cargo inspection. Entering the Pickup OTP transitions the shipment status to In-Transit.
• Drop OTP: Generated on the Receiver's dashboard. Handed to the driver only upon reaching the destination and unloading the cargo. Entering the Drop OTP confirms delivery and triggers the 90% payout disbursement.
• Custody and transit responsibility reside with the driver between Pickup OTP submission and Drop OTP confirmation.

7. Prohibited & Restricted Cargo

Senders are strictly prohibited from booking shipments containing illegal, hazardous, or non-compliant cargo. Prohibited items include:

• Illicit substances, narcotics, psychotropic drugs, and contraband.
• Unlicensed firearms, explosives, hazardous chemicals, or radioactive substances.
• Stolen goods, counterfeit currency, or materials violating central and state carriage regulations.
• Unpackaged or poorly packed fragile goods vulnerable to normal transit vibration. Packaging integrity remains the sole responsibility of the Sender.

Any attempt to transport illegal or banned items will result in immediate permanent account termination, vehicle impound notification to law enforcement, and legal prosecution.

8. Cancellations & Refund Policy Reference

Trip cancellations and refunds are governed by our formal Refund & Cancellation Policy:

• Cancellation Prior to Dispatch: Senders cancelling before a driver is dispatched receive a 100% refund credited back to their original PhonePe payment method within 5–7 business days.
• Driver Cancellation: If a driver cancels an assigned load, the shipment is immediately returned to the bidding pool for re-assignment with zero penalty to the Sender.

9. Limitation of Liability & Indemnification

To the maximum extent permitted by applicable Indian laws:

• Vediway shall not be liable for indirect, incidental, punitive, or consequential damages arising from vehicle breakdowns, traffic congestion, weather disruptions, checkpost delays, or cargo damage caused by inadequate packaging.
• Users agree to indemnify and hold harmless VIGNESH R, Vediway Technologies, and its affiliates from any claims, losses, or legal liabilities arising from a breach of these Terms or carriage of unlawful goods.

10. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes or claims arising out of or in connection with the platform shall be subject to the exclusive jurisdiction of the competent courts in Srivilliputhur / Virudhunagar District, Tamil Nadu, India.
